Terms of service

These terms are an agreement between Proking Solutions (Pty) Ltd ("Verdict", "we", "us") and the agency or business that signs up ("you"). By using Verdict you agree to them. If you're signing up for a company, you confirm you can agree on its behalf.

The service

Verdict puts the questions you track to third-party AI assistants, records their answers and the sources they cite, and turns them into measurements, fix suggestions and reports. AI assistants change their answers over time and between askings. Verdict reports what they said when we asked; it doesn't promise any particular result in their answers, rankings or traffic.

Trials

Trials last 14 days, are set up with you after a demo, and need no payment details. At the end of a trial you can choose a plan. If you don't, we close the workspace and delete its data after 90 days.

Plans, billing and cancelling

We invoice plans monthly or yearly in advance, in US dollars, excluding tax, and invoices are payable by the date shown on them. Each plan includes a number of clients, tracked prompts and seats; archived clients don't count. You can move to another plan at any time, and the price changes from the next billing period. You can cancel at any time, and your plan runs to the end of the period you've paid for. Fees already paid aren't refunded, except where the law requires it or we say otherwise in writing. We'll give you at least 30 days' notice of any price change.

Your data

You own what you put into Verdict: your clients, competitors, questions, notes and logo. You give us permission to store and process it to run the service for you. You're responsible for having the right to add it, including any client information. We handle personal information as described in our privacy policy. When you close your account you can save your reports first; we delete the rest within 90 days.

Acceptable use

• Don't use Verdict to break the law, or the terms of the AI assistants it checks.
• Don't try to get around plan limits, or access another agency's workspace.
• Don't resell access to Verdict itself. Selling your work and reports to clients is fine.
• Don't overload, reverse engineer or attack the service.

We can suspend accounts that break these rules, and will tell you why.

Reports you share

Share links let anyone with the link view a client's report. You decide who gets them, and you can turn a link off at any time.

Availability and changes

We work to keep Verdict running, but don't promise it will be uninterrupted. Checks depend on third-party AI services that can be slow or unavailable; when one fails, we say so and try again. We may change or add features; if we remove something you rely on, we'll tell you in advance.

Liability

Verdict is provided as it is. To the extent the law allows, we aren't liable for indirect or consequential losses, lost profits or lost business, and our total liability in any year is limited to the fees you paid us in the 12 months before the claim. Nothing here limits liability that can't be limited by law.

Ending the agreement

You can close your account at any time. We can end this agreement with 30 days' notice, or straight away if you seriously break these terms.

Law and disputes

These terms are governed by the laws of South Africa, and disputes go to the South African courts.
